THE SIGNAL
On September 8, 2026, the SEC's Division of Corporation Finance extended its nonpublic review of draft registration statements to issuers of asset-backed securities using Forms SF-1 and SF-3. The Division said the change "can facilitate capital formation in the ABS market without diminishing investor protection." It builds on the enhanced accommodations the Division announced in March 2025.
The nonpublic path covers a depositor's first ABS registration statement, and also "A new registration statement on Form SF-1 or Form SF-3 filed by a depositor registering an offering of ABS in an asset class for which it does not currently have an effective Securities Act registration statement." The issuer confirms that it will publicly file the registration statement and its drafts "at least 15 days prior to any road show".
The Division also expects the work to be done before the draft goes in: "An ABS Issuer should take all steps to ensure that a draft registration statement is substantially complete when submitted."

BEFORE
Hypothetical: a bank's securitized products group is lead underwriter for a client's first deal in a new asset class. The draft SF-1 is substantially complete, counsel has the cover letter, and the open diligence points are listed.
The bank still has to approve leading a deal in an asset class it has not underwritten before. That approval sits with the new business committee, which meets after month-end close. The head of securitized products and the chief risk officer could approve it between meetings, but no one has written down that they may.
The file is ready. The person who can release it is not.
WHAT THE WAIT COSTS
Staff review cannot start until the client submits the draft, and the 15-day public filing before the road show comes after that. Every week the internal approval waits pushes the road show, and the market window the client planned around may not wait with it.
AFTER
The committee writes its own delegation: a first deal in a new asset class can be approved between meetings by two named officers when it fits set limits (asset type, deal size, retained risk, diligence status), and the full committee reviews the record at its next meeting.
The packet goes to both officers with the draft, the asset data, the open diligence points and the proposed conditions. They approve it in a day with one condition, the reasons are recorded, and the client submits the draft that week.
HOW WISDOMTWIN FITS
WisdomTwin.ai is building a sovereign judgment layer for regulated enterprises. It is designed to give each named approver a role-specific judgment twin that prepares the decision packet the way that person reviews, with the evidence attached, so the decision moves faster and leaves an auditable record. It is designed to run on-premises, on-device or in your private cloud, and the named person still makes the call.
We don't replace judgment. We remove the wait.
TRY THIS THIS WEEK
List every deal waiting on an internal approval, and how long the oldest has waited.
Write down which approvals could be made between committee meetings, and by whom.
Check that each pending packet shows the open issues and the conditions, not only the opportunity.
